1月26日消息,据《日经新闻》报道,Lenovo联想集团与NEC公司宣布成立合资公司、 建立策略合作关系、 共同建立日本最大的个人计算机集团,以提高在中国和日本PC市场上的竞争力。双方将于周四公布这一协议。

新的合资企业将整合两家公司的开发、生产和零部件采购业务。这次合作为强强连手, NEC是日本最大的个人计算机公司;而联想则为全球前五大计算机厂商中增长最快的厂商。透过更强大的市场地位、产品组合及销售管道、 该合作为联想及NEC提供一个独特的机会,在日本这个全球第三大个人计算机市场发展其商用及消费计算机业务。

新成立的合资公司将结合双方优势、 包括NEC良好的市场声誉、产品开发实力、备受推崇的客户服务及对日本客户需求的丰富知识、 与Lenovo联想的科技专业、强劲的全球业务增长力及全球供应链,能以更短上市时间、 推出更符合日本消费者需求及具价格竞争力的创新产品。

日本联想和NEC将成立NEC 联想集团,NEC 集团 B.V.,为在荷兰注册的新公司,并在此集团下建立名为Lenovo根据协议。联想以自己在日本的业务入股,外加1.75亿美元,获得51%的股份。NEC以自己在日本的业务入股,获得49%的股份,外加价值1.75亿美元的联想集团股票。NEC将把全部PC业务移交给合资企业,合资企业将在NEC个人产品位于日本山形县的工厂大规模生产PC。另外,5年后,NEC有权最高以2.75亿美元的价格把自己在合资公司中49%的股份卖给联想。同样,5年后,联想有权最高以2.75亿美元的价格把NEC在合资公司中49%的股份收购。NEC 个人产品,Ltd.现任总裁Hideyo Takasu将出任新合资公司的总裁兼执行长, 而Lenovo (日本) Ltd.现任代表董事与总裁Roderick Lappin将出任执行主席。联想 (日本) Ltd.和NEC 个人电脑有限公司 (个人产品从NEC、 Ltd.中的个人计算机业务所独立出来的新公司)将成为新合资公司100%所有的子公司。

据报道,该合资企业将销售NEC品牌的PC,NEC将继续向现有客户提供售后服务。该公司试图通过与联想合作,试水中国市场。

日本PC市场一直比较封闭,NEC、东芝、富士通、索尼等本土品牌长期占据着绝大多数的市场份额,但从全球范围来看,NEC市场份额不到1%,完全缺乏规模优势。受到美国、中国内地和中国台湾PC厂商的挤压,日系PC厂商近年来不断收缩战线,NEC、富士通等厂商已经全面退守本土市场,全球排名最高的日本PC品牌东芝也已落后华硕名列第六。而通过与联想的合作,可以共享供应链,从而大幅降低原料采购成本和生产成本,增强盈利能力。

According to "Nikkei News" reported on January 26, Lenovo Group and NEC Corporation announced a joint venture for the strategic partnership to build Japan's largest personal computer group, to improve the competitiveness of the PC markets in China and Japan. The two parties will announce the agreement on Thursday.

The new joint venture will integrate the development of the two companies, production and parts procurement. This partnership is a strong even hand as NEC is Japan's largest personal computer company and Lenovo is world's top five fastest growing computer manufacturers. Through stronger market position, product mix and sales channels, the cooperation of Lenovo and NEC provided a unique opportunity for each other to develop its commercial and consumer computer business in Japan as the world's third-largest personal computer market.

The new joint venture will combine the strengths of both companies, including NEC’s good market reputation, product development capabilities, highly respected customer service and wealth of knowledge of customer demand in Japan, as well as Lenovo’s technology profession, strong global growth and strength of global supply chain, to introduce the price-competitive innovative products in a shorter time to meet Japanese consumer demand.

Lenovo and NEC of Japan will set up a NEC Lenovo, NEC Group BV, as the new companies registered in the Netherland, and under the agreement this group is established known as Lenovo.  Lenovo's business in Japan put in their own shares, plus $ 175 million, and will finally win 51% of the shares. NEC's business in Japan to put in their own shares, will receive 49% of the shares, plus the value of $ 175 million in Lenovo stock. NEC will transfer all of its PC business to the joint venture which will start the mass production of PC in Japan factory of NEC Personal Products located in Yamagata. In addition, after 5 years, NEC is entitled to sell its 49% shares of the joint venture to Lenovo with the maximum price of $ 275 million. Similarly, after 5 years, right up to Lenovo for $ 275 million joint venture in the NEC in 49% of the shares acquired. The current president of NEC Personal Products, Ltd. Hideyo Takasu will take charge of the new company as the President and CEO, and the current Representative Director and President Roderick Lappin will serve as executive chairman of Lenovo (Japan) Ltd. Lenovo (Japan) Ltd. and NEC personal computers (the new company independent from the personal computer business of NEC, Ltd.) will become the subsidiary 100% owned by the new joint venture.

According to reports, the joint venture will sell PCs branded “NEC”, and NEC will continue to provide service to the existing customers. The company tried to cooperate with Lenovo to test the Chinese market.

Japanese PC market has a relatively closed nature. NEC, Toshiba, Fujitsu, Sony and other domestic brands accounted for the vast majority of long-term market share, but from a global perspective, NEC market share accounted less than 1%, as a complete lack of scale advantages. For the pressure from the PC manufacturers in United States, China mainland and China Taiwan, Japanese PC manufacturers continue to shrink their markets in recent years. NEC, Fujitsu and other vendors have fully retreated to the local market, and the world's highest-ranked Japanese PC brand, Toshiba, has also been ranked behind ASUS. Through the cooperation with Lenovo, NEC can share supply chain, thereby significantly reducing the cost of raw materials procurement and production costs to enhance profitability.
